Terms of Service — hft

Last Updated: August 19, 2026

IMPORTANT NOTICES — READ BEFORE USING THE SERVICE

RESTRICTED PERSONS. THE SERVICE IS NOT OFFERED TO, AND MAY NOT BE USED BY, ANY PERSON WHO IS A RESIDENT OF, CITIZEN OF, LOCATED IN, INCORPORATED IN, OR HAS A REGISTERED OFFICE OR PRINCIPAL PLACE OF BUSINESS IN: (A) THE UNITED STATES OF AMERICA (INCLUDING ITS TERRITORIES); (B) ANY MEMBER STATE OF THE EUROPEAN UNION OR THE EUROPEAN ECONOMIC AREA; (C) THE UNITED KINGDOM; OR (D) ANY JURISDICTION SUBJECT TO COMPREHENSIVE SANCTIONS ADMINISTERED BY THE UNITED STATES, THE UNITED NATIONS, THE EUROPEAN UNION, OR THE UNITED KINGDOM (INCLUDING, WITHOUT LIMITATION, CUBA, IRAN, NORTH KOREA, SYRIA, AND THE CRIMEA, DONETSK, AND LUHANSK REGIONS), OR ANY PERSON LISTED ON ANY SANCTIONS LIST (COLLECTIVELY, "RESTRICTED PERSONS" AND "RESTRICTED JURISDICTIONS"). THERE ARE NO EXCEPTIONS.

YOUR JURISDICTION IS YOUR RESPONSIBILITY. THE SERVICE IS MADE AVAILABLE ONLY WHERE ITS USE IS LAWFUL. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING, BEFORE EACH USE, WHETHER YOUR ACCESS TO AND USE OF THE SERVICE, AND YOUR TRADING OF DIGITAL ASSETS GENERALLY, IS PERMITTED UNDER THE LAWS AND REGULATIONS OF YOUR JURISDICTION OF RESIDENCE, CITIZENSHIP, AND PHYSICAL LOCATION. IF SUCH USE IS PROHIBITED, RESTRICTED, OR REQUIRES A LICENSE, AUTHORIZATION, OR REGISTRATION THAT YOU DO NOT HOLD, YOU MUST NOT USE THE SERVICE. WE MAKE NO REPRESENTATION THAT THE SERVICE IS APPROPRIATE OR LAWFUL IN ANY PARTICULAR JURISDICTION.

VPN / CIRCUMVENTION PROHIBITED. USE OF ANY VPN, PROXY, OR OTHER TECHNIQUE TO CONCEAL YOUR LOCATION OR CIRCUMVENT GEOGRAPHIC RESTRICTIONS IS STRICTLY PROHIBITED AND CONSTITUTES A MATERIAL BREACH OF THESE TERMS. WE MAY IMMEDIATELY TERMINATE ACCESS OF ANY USER WE REASONABLY BELIEVE TO BE A RESTRICTED PERSON.

SELF-DIRECTED SOFTWARE; YOUR WALLET, YOUR KEYS, YOUR DECISIONS — PLAIN-LANGUAGE DISCLOSURE. THE SERVICE IS A SOFTWARE INTERFACE. WHEN YOU ACTIVATE IT, IT GENERATES ONE OR MORE BLOCKCHAIN WALLETS THAT BELONG EXCLUSIVELY TO YOU. YOUR PRIVATE KEYS ARE DISPLAYED TO YOU ONCE, AT WALLET CREATION, AND NEVER SHOWN OR TRANSMITTED AGAIN — BACK THEM UP IMMEDIATELY AND STORE THEM SECURELY. ANY FUNDS YOU DEPOSIT GO INTO YOUR OWN WALLET — NOT INTO ANY ACCOUNT OF OURS — AND EVERY TRANSACTION EXECUTED THROUGH THE SERVICE IS YOU MOVING YOUR OWN FUNDS, TRIGGERED SOLELY BY YOUR COMMANDS AND THE SETTINGS YOU CONFIGURE. WE OPERATE NO EXCHANGE, MATCH NO ORDERS, TAKE NO POSITIONS, AND NEVER INITIATE ANY TRANSACTION OURSELVES. TO MAKE THIS WORK OVER TELEGRAM — WHICH CANNOT SIGN BLOCKCHAIN TRANSACTIONS — AND TO EXECUTE YOUR AUTOMATED SETTINGS (SNIPES, COPY TRADES, LIMIT ORDERS, STOP-LOSSES) WITHOUT A PER-TRANSACTION CONFIRMATION FROM YOU, THE SOFTWARE KEEPS AN ENCRYPTED OPERATIONAL COPY OF YOUR PRIVATE KEYS ON OUR SERVERS, USED EXCLUSIVELY TO SIGN THE TRANSACTIONS YOU DIRECT. THIS CREATES A REAL RISK: A COMPROMISE OF OUR SYSTEMS COULD RESULT IN THE TOTAL, IRREVERSIBLE LOSS OF ALL FUNDS IN YOUR TRADING WALLETS. USE A DEDICATED TRADING WALLET, NEVER YOUR PRIMARY WALLET, AND DO NOT KEEP IN IT MORE THAN YOU ARE PREPARED TO LOSE ENTIRELY.

NO WARRANTY; BETA SOFTWARE. THE SERVICE IS EXPERIMENTAL SOFTWARE UNDER CONTINUOUS DEVELOPMENT, MAY REMAIN PERPETUALLY IN BETA, AND IS PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. DIGITAL ASSET TRADING — IN PARTICULAR TRADING OF NEWLY LAUNCHED, ILLIQUID MEMECOIN-TYPE TOKENS — CARRIES AN EXTREME RISK OF TOTAL LOSS.

ARBITRATION; CLAIM DEADLINES. THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION AND JURY TRIAL WAIVER, AND STRICT TIME LIMITS FOR BRINGING CLAIMS (SECTION 18).

1. Who We Are; Agreement to These Terms

These Terms of Service (these "Terms"), together with our Privacy Policy (incorporated by reference), form a binding agreement between you ("you", "your", the "User") and the developers and operators of hft ("Operator", "we", "us", "our"), governing your access to and use of the hft Telegram bot and any associated websites, applications, interfaces, and documentation (collectively, the "Service"). The Service is an early-stage project currently operated by its development team rather than by an incorporated entity. We may assign these Terms, and the operation of the Service, to a legal entity formed to operate the Service, and upon notice through the Service that entity will automatically become the contracting party in our place, with all rights, releases, and protections in these Terms applying to it in full.

By starting, messaging, or otherwise interacting with the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility; Representations

You represent and warrant, on a continuing basis for as long as you use the Service, that:

  1. you are at least eighteen (18) years old and have full legal capacity to enter into a binding contract;
  2. you are not a Restricted Person, are not located in, resident of, or a citizen of any Restricted Jurisdiction, and are not acting for or on behalf of any Restricted Person;
  3. you have verified that your use of the Service, and your purchase, sale, and holding of digital assets, is lawful in every jurisdiction applicable to you, that you hold any license, registration, or authorization required for such activity, and you will monitor changes in such laws on an ongoing basis;
  4. you are acting solely on your own behalf, with your own funds, and not for the benefit of any third party, and you will not use the Service to transact on behalf of any other person or entity;
  5. all funds you use with the Service are lawfully obtained and are not derived from or connected to any unlawful activity, money laundering, or terrorist financing;
  6. you will not use any VPN, proxy, or other means to misrepresent your location or circumvent geographic or other restrictions; and
  7. you have the sophistication, knowledge, and experience to understand the risks of self-directed, automated trading of digital assets, including newly launched tokens, and you accept those risks in full.

We reserve the right (but assume no obligation) to use technical measures, including IP-based geolocation, to enforce geographic restrictions, and to suspend or terminate any account we reasonably believe belongs to a Restricted Person, without notice and without liability. You acknowledge that geolocation measures are imperfect, and their failure to block you does not constitute permission to use the Service if you are a Restricted Person.

3. Nature of the Service: A Self-Directed Software Interface

3.1 Software interface and conduit only. The Service is a software interface — a chat-based control panel — through which you create and operate your own blockchain wallets and interact with public, permissionless, third-party blockchain infrastructure: the Solana network, decentralized exchange protocols, automated market makers, launchpads, and bonding-curve venues (collectively, "Third-Party Protocols"). No trade, swap, exchange, or settlement of any kind takes place on our infrastructure. The Service constructs and relays transactions reflecting your instructions to the blockchain network, where they are executed (or not) by Third-Party Protocols and network validators that we do not own, operate, or control. In this respect the Service functions as a conduit between you and the blockchain, comparable to node, RPC, and wallet software.

3.2 Your Wallets, your keys, your assets. Upon activation, the Service generates one or more blockchain wallets for you (each a "Trading Wallet"). Each Trading Wallet, its private keys, and all Digital Assets in it are, at all times, owned exclusively by you. Your private keys are displayed to you once, at wallet creation, and are never displayed or transmitted again; you must back them up immediately and securely at that time. From that moment you independently hold your own keys, and your ability to access your assets on-chain does not depend on the Service. We claim no right, title, or interest in your Trading Wallets or their contents. Your Digital Assets are never our property; we do not pool, commingle, lend, stake, rehypothecate, or otherwise use them, and we do not trade for our own account through the Service. Deposits you make go directly to your own Trading Wallet address on the public blockchain — we maintain no omnibus accounts, no internal ledger of user balances, and no ability to credit or debit balances off-chain; the blockchain itself is the sole record of your assets. We strongly recommend using dedicated Trading Wallets funded only with amounts you actively trade, and never connecting or funding them from your primary holdings beyond what you are prepared to lose.

3.3 Self-directed transactions; you are the sole originator. Every transaction executed through the Service is a movement of your own Digital Assets from your own Trading Wallet, originated solely by you — either by an express command (for example, a buy, sell, or withdrawal command) or by a standing instruction you have configured (Section 3.4). We exercise no discretion over your trading: we do not select tokens, decide what, when, or whether to buy or sell, manage a portfolio, provide signals or recommendations, or initiate any transaction ourselves. The Service does not operate an exchange or marketplace: it maintains no order book, matches no orders, never pairs one user against another, and is never the counterparty to any of your transactions. Each of your instructions is executed independently against public Third-Party Protocols.

3.4 Standing instructions. Automated features (including token sniping, copy trading, limit orders, take-profit and stop-loss orders) operate exclusively on parameters you configure — target tokens or wallets, amounts, price or event conditions, slippage, and similar settings (each a "Standing Instruction"). A Standing Instruction is your instruction: when its conditions occur, the Service executes it deterministically and mechanically, without further confirmation from you, including while you are offline. You acknowledge that all transactions resulting from Standing Instructions are authorized by you in advance and are your sole responsibility. Standing Instructions remain active until you cancel them through the Service, and you bear the risk of any interval between a cancellation request and its effect.

3.5 The operational key copy — how signing works. Telegram is a messaging platform: it cannot sign blockchain transactions, and Standing Instructions must execute in real time without a per-transaction confirmation from you. For these technical reasons, the Service retains an encrypted operational copy of your Trading Wallet private keys on our systems, used exclusively to sign and submit the transactions you direct under Sections 3.3 and 3.4. After the one-time display at wallet creation, your keys are never again displayed, transmitted, or exported by the Service, and key material is never used for any purpose other than signing your instructed transactions. This operational copy exists solely as a signing mechanism for your instructions; it does not transfer ownership or any interest in your keys or assets to us, and we do not offer or provide safekeeping, administration, or custody of Digital Assets as a service. We will never initiate, modify, redirect, or block a transaction except as instructed by you or as required by applicable law or Section 9. You acknowledge the security risk this architecture entails, as described in Section 6.

3.6 What the Service is not. We are a software developer and interface provider. We do not: (a) operate an exchange, trading venue, order-matching system, or alternative trading system; (b) act as broker, dealer, market maker, intermediary, agent, or counterparty to any transaction; (c) exchange fiat currency for Digital Assets or vice versa, or provide any fiat on/off-ramp; (d) accept value from any person for transmission to another person or location — all transactions are initiated by you and constitute the movement of your own Digital Assets from your own Trading Wallet; (e) provide safekeeping, administration, or custody of Digital Assets or fiat as a service; (f) provide portfolio management, investment, financial, legal, tax, or accounting advice or services; or (g) hold any license or registration with any financial regulatory authority in any jurisdiction, and we make no representation that the Service constitutes a regulated activity in any jurisdiction or that any regulatory protections apply to your use of it.

3.7 Third-Party Protocols and information. Your use of Third-Party Protocols, tokens, and blockchain networks is at your sole risk and subject to their own rules, code, and risks. Information displayed by the Service (token data, prices, charts, market caps, PnL, notifications) is aggregated from third-party and on-chain sources, is provided for convenience only, may be inaccurate, delayed, or incomplete, and does not constitute advice or a recommendation of any kind.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES (AS DEFINED IN SECTION 11) FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO: ANY THIRD-PARTY PROTOCOL, NETWORK, TOKEN, SMART CONTRACT, RPC OR NODE PROVIDER, DATA SOURCE, OR OTHER THIRD-PARTY TECHNOLOGY; YOUR TRADING DECISIONS, COMMANDS, AND STANDING INSTRUCTIONS AND ALL TRANSACTIONS RESULTING FROM THEM; AND YOUR RELIANCE ON ANY INFORMATION DISPLAYED BY THE SERVICE.

4. Telegram; Account Security

The Service is accessed through Telegram, a third-party platform we do not control and are not affiliated with. Anyone with access to your Telegram account controls your Trading Wallets — including the ability to trade and to withdraw all funds to any address. You are solely responsible for securing your Telegram account (including enabling two-factor authentication), your devices, and your key backups. We will treat every command received from your Telegram account as authorized by you.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO UNAUTHORIZED ACCESS TO OR USE OF YOUR TELEGRAM ACCOUNT, SIM-SWAPPING, DEVICE COMPROMISE, TELEGRAM OUTAGES OR CHANGES, OR ANY OTHER ACT OR OMISSION OF TELEGRAM OR ANY OTHER THIRD-PARTY PLATFORM.

5. Fees

We charge a fee on each executed buy or sell transaction, at the rate displayed in the bot interface at the time of the transaction (the "Service Fee"), automatically deducted at execution as consideration for use of the software. Transfers of Digital Assets between wallets (deposits and withdrawals) incur no Service Fee. Current fees, including any referral adjustments, are displayed in the bot interface. We may change fees at any time with notice through the Service; continued use after notice constitutes acceptance. In addition to Service Fees, every transaction incurs third-party costs that we do not control and do not receive, including network (gas/priority) fees, Third-Party Protocol fees, MEV-protection or bundle tips, and slippage. All fees and costs are non-refundable, including for failed, reverted, or unprofitable transactions where the network nonetheless charged fees.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO THIRD-PARTY FEES AND COSTS, CHANGES IN FEES, OR ANY DIFFERENCE BETWEEN ESTIMATED AND ACTUAL COSTS OF ANY TRANSACTION.

6. Assumption of Risk

You acknowledge, accept, and assume full responsibility for all risks of using the Service, including without limitation:

  1. Total loss risk. Digital assets — especially newly launched, low-liquidity tokens of the kind commonly traded through the Service — are extremely volatile and frequently become worthless. Tokens may be fraudulent ("rug pulls"), contain malicious contract logic (honeypots, transfer taxes, freeze/blacklist functions), or lose all liquidity at any moment. Assume that any token you trade can go to zero.
  2. Security risk. An encrypted operational copy of your private keys is stored on our systems (Section 3.5). A breach, exploit, insider compromise, or operational failure of our systems, our service providers, or Telegram could result in total, irreversible loss of all funds in your Trading Wallets. Blockchain transactions cannot be reversed. No insurance, deposit protection, or government scheme covers your Digital Assets.
  3. Execution risk. Snipes, copy trades, and orders may fail, execute late, execute at prices materially worse than displayed, be front-run or sandwiched (MEV), suffer slippage, or not execute at all, due to network congestion, RPC failures, blockchain forks or outages, Third-Party Protocol behavior, competition from other traders, or defects in the Service. Displayed prices, quotes, and estimates are indicative only.
  4. Software risk. The Service is experimental beta software under active development and may contain bugs, errors, and vulnerabilities. Features may change, malfunction, or be discontinued at any time.
  5. Third-party risk. The Service depends on third-party infrastructure (Telegram, RPC providers, blockchain networks, Third-Party Protocols, data providers). Their failure, compromise, or discontinuation may impair the Service or cause loss.
  6. Legal and regulatory risk. The legal treatment of digital assets and of software like the Service is uncertain and evolving. Regulatory action, or changes in law in your jurisdiction or ours, may adversely affect the Service, your assets, or your ability to access either, up to and including immediate discontinuation of the Service.
  7. No recovery. Funds sent to a wrong address, to an unsupported network, or lost through your error, your compromised Telegram account, or your compromised key backups are unrecoverable, and we have no obligation or ability to recover them.

YOU HEREBY IRREVOCABLY ASSUME ALL RISKS DESCRIBED IN THIS SECTION 6, AND YOU RELEASE, WAIVE, AND FOREVER DISCHARGE THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LOSSES, DAMAGES, AND LIABILITIES, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING OUT OF OR RELATING TO ANY OF SUCH RISKS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

7. Prohibited Uses

You will not, and will not assist or permit any other person to:

  1. use the Service if you are a Restricted Person, from a Restricted Jurisdiction, or in violation of any applicable law, including securities, commodities, anti-money-laundering, counter-terrorist-financing, sanctions, and export-control laws;
  2. use any VPN, proxy, or location-obfuscation tool to circumvent restrictions;
  3. use the Service for money laundering, terrorist financing, fraud, or any other unlawful activity, or with funds derived from unlawful activity;
  4. use the Service to transact on behalf of any other person or entity, or resell, sublicense, or provide the Service or access to it to third parties, or use it for any commercial service to others;
  5. engage in market manipulation of any kind, including pump-and-dump schemes, wash trading, self-trading, spoofing, layering, or creating a false appearance of market activity, regardless of whether prohibited by applicable law;
  6. deploy, promote, or trade tokens containing malicious logic designed to seize or freeze third-party assets, or use the Service to facilitate a "rug pull";
  7. probe, scan, attack, overload, reverse engineer, decompile, or disassemble the Service, or attempt to access non-public areas of our systems or other users' data or wallets;
  8. access the Service through automated scripts, bots, crawlers, or other programmatic means not provided by us;
  9. impersonate any person, misrepresent your affiliation, or provide false information to us; or
  10. use the Service in any manner that could harm, disable, or impair the Service or interfere with other users' use of it.

We may investigate suspected violations, may require additional information from you where we consider it necessary (including to verify the lawful source of funds), and may cooperate with law enforcement and regulatory authorities, including by disclosing information as described in the Privacy Policy.

8. One-Time Key Disclosure; Backup; Withdrawals

Your private key for each Trading Wallet is displayed to you exactly once, at wallet creation. This is your only opportunity to record your key: by design, to minimize exposure of key material, it is never displayed, transmitted, or exported again. You are solely responsible for backing it up immediately and storing it securely. From the moment of creation you independently hold your own key: (a) you are solely responsible for its security and for all assets controlled by it; (b) any person who obtains it can irreversibly take all associated assets; and (c) transactions you sign outside the Service using your key are outside our systems entirely. Withdrawals of your Digital Assets to any external address are available at all times while the Service is operational. If you fail to back up your key at creation, your only means of moving your assets is the Service's withdrawal function while the Service remains operational, and following deletion of the operational key copy under Section 9.2 your assets will become permanently inaccessible to everyone, including us. If you intend to stop using the Service, transfer your assets to a fresh wallet whose key has never touched the Service or Telegram.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO YOUR FAILURE TO RECORD OR BACK UP YOUR PRIVATE KEY AT CREATION, YOUR STORAGE OR HANDLING OF ANY KEY OR BACKUP, ANY TRANSACTION SIGNED OUTSIDE THE SERVICE, OR THE PERMANENT INACCESSIBILITY OF ASSETS RESULTING FROM ANY OF THE FOREGOING.

9. Suspension; Termination; Wind-Down

We may suspend, restrict, or terminate your access to the Service, or modify or discontinue the Service in whole or in part, at any time, with or without cause or notice, including where we reasonably suspect a violation of these Terms, unlawful activity, or a security risk. You may stop using the Service at any time.

9.1 Pending Standing Instructions. Upon any suspension or termination, we may cancel your pending Standing Instructions; no Standing Instruction will continue to operate after termination is complete. You are responsible for managing any open positions before ceasing use of the Service.

9.2 Your assets are unaffected; key deletion. Because your Trading Wallets and keys are yours, suspension or termination of the Service does not transfer, freeze, or otherwise affect your ownership of your Digital Assets, which remain accessible to you on-chain via the keys you backed up at wallet creation. Following termination of your access or discontinuation of the Service, we will delete the encrypted operational copies of your private keys from our systems within 90 days (during which window the withdrawal function will remain available where operationally possible), after which we will have no copy of your keys and no ability whatsoever to assist you. If you did not back up your key at creation and do not withdraw your assets during that window, your assets will be permanently inaccessible. Transaction records may be retained as described in the Privacy Policy. If we discontinue the Service entirely, we will use commercially reasonable efforts to provide notice through the Service and a reasonable window during which withdrawals remain available; provided that we may act without notice where required by law, legal process, or security circumstances.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO ANY SUSPENSION, RESTRICTION, MODIFICATION, TERMINATION, OR DISCONTINUATION OF THE SERVICE, THE CANCELLATION OR COMPLETION OF ANY PENDING STANDING INSTRUCTION, THE DELETION OF OPERATIONAL KEY COPIES AFTER THE STATED WINDOW, OR ANY ASSETS RENDERED PERMANENTLY INACCESSIBLE BECAUSE YOU DID NOT BACK UP YOUR KEY AT CREATION OR DID NOT WITHDRAW DURING THE STATED WINDOW.

Sections that by their nature should survive termination (including Sections 6, 8, and 10 through 20) survive.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: THE SERVICE, ALL SOFTWARE, AND ALL INFORMATION AND MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY, REPRESENTATION, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; ANY TRANSACTION WILL EXECUTE, EXECUTE AT ANY PARTICULAR TIME, PRICE, OR SPEED, OR BE PROFITABLE; ANY DATA DISPLAYED WILL BE ACCURATE OR COMPLETE; DEFECTS WILL BE CORRECTED; OR THE SERVICE OR OUR SYSTEMS ARE FREE OF VULNERABILITIES OR HARMFUL COMPONENTS. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT WILL THE OPERATOR, THE INDIVIDUAL DEVELOPERS, CONTRIBUTORS, AND OPERATORS OF THE SERVICE, ANY FUTURE ENTITY TO WHICH THESE TERMS ARE ASSIGNED, OR ANY OF THEIR RESPECTIVE CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE "OPERATOR PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DIGITAL ASSETS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, OR FOR TRADING LOSSES, MISSED TRADING OPPORTUNITIES, FAILED OR DELAYED TRANSACTIONS, OR LOSS ARISING FROM UNAUTHORIZED ACCESS, HACKS, EXPLOITS, OR THEFT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;

(B) THE AGGREGATE LIABILITY OF THE OPERATOR PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE TOTAL SERVICE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (II) ONE HUNDRED U.S. DOLLARS (US$100);

(C) IF ANY DAMAGES CALCULATION REFERENCES THE VALUE OF ANY DIGITAL ASSET, THAT VALUE WILL BE THE LOWEST VALUE OF THE ASSET DURING THE PERIOD BETWEEN ACCRUAL OF THE CLAIM AND THE AWARD; AND

(D) NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US, AND THE SERVICE WOULD NOT BE PROVIDED WITHOUT THEM.

12. Indemnification

You will defend, indemnify, and hold harmless the Operator Parties from and against all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and any fines or penalties imposed by any regulatory authority) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms, including any misrepresentation regarding your jurisdiction or Restricted Person status; (c) your violation of any law or the rights of any third party; (d) your trading activity, commands, and Standing Instructions; and (e) any taxes (other than taxes on our net income) arising from your activity. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any such claim without our prior written consent.

13. Taxes

You are solely responsible for determining, reporting, and paying all taxes arising from your use of the Service and your digital asset transactions. We do not provide tax advice, do not withhold or report taxes on your behalf, and have no obligation to provide records beyond what the Service makes available.

14. Intellectual Property; Feedback

The Service, including all software, interfaces, designs, text, and trademarks, is owned by the Operator or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your personal, non-commercial use in accordance with these Terms. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

15. Changes to the Terms and the Service

We may modify these Terms at any time by posting the updated Terms at https://hft.so/terms.html and/or providing notice through the Service. Changes are effective upon posting unless stated otherwise, except that changes to Sections 17–18 (governing law; arbitration) do not apply retroactively to disputes that accrued before the change. Your continued use after changes take effect constitutes acceptance; if you do not agree, your sole remedy is to stop using the Service. We may modify, add, remove, or discontinue any feature of the Service at any time without notice.

YOU HEREBY RELEASE AND HOLD HARMLESS THE OPERATOR PARTIES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, CLAIMS, AND LIABILITIES ARISING OUT OF OR RELATING TO ANY MODIFICATION, ADDITION, REMOVAL, OR DISCONTINUATION OF ANY FEATURE OF THE SERVICE OR ANY CHANGE TO THESE TERMS.

16. Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including blockchain network failures, forks, or congestion; Telegram or third-party infrastructure failures; cyberattacks; acts of God; war; civil unrest; labor disputes; power or internet failures; extreme market volatility; or acts of governmental or regulatory authorities.

17. Governing Law

These Terms and any dispute arising out of or relating to them or the Service (including non-contractual disputes) are governed by the substantive law of the seat of arbitration determined under Section 18, without regard to conflict-of-laws rules. Subject to Section 18, the courts at the seat of arbitration have exclusive jurisdiction over any matter not subject to arbitration, and you irrevocably submit to their jurisdiction and waive any objection to venue.

18. Dispute Resolution; Binding Arbitration; Class Action Waiver; Time Limits

18.1 Notice of dispute — 30-day deadline. In the event of any dispute arising out of or relating to these Terms or the Service, you must, within thirty (30) days of the date on which the events giving rise to the dispute occurred, email a written notice of dispute to legal@hft.so describing the nature and basis of the dispute and the specific relief sought (a "Dispute Notice"). The parties will attempt in good faith to resolve the dispute through negotiation for sixty (60) days from the Dispute Notice.

18.2 Arbitration. Any dispute not resolved informally shall be finally resolved by binding arbitration under the UNCITRAL Arbitration Rules in force when the notice of arbitration is filed, before one (1) arbitrator, conducted in English. The seat of arbitration, and the appointing authority if the parties cannot agree on the arbitrator, shall be designated by the Operator, acting reasonably, at the commencement of the arbitration; the arbitration may be conducted remotely by videoconference and on the basis of documents. All issues, including arbitrability and the scope and enforceability of this Section, are for the arbitrator to decide. Judgment on the award may be entered in any court of competent jurisdiction. Arbitration proceedings and outcomes are confidential except as required by law or to enforce an award. Either party may seek interim or injunctive relief from a court of competent jurisdiction without waiving this agreement to arbitrate.

18.3 TIME BAR. ANY ARBITRATION MUST BE COMMENCED WITHIN ONE (1) YEAR OF THE DATE THE DISPUTE NOTICE WAS ISSUED (OR, IF NO TIMELY DISPUTE NOTICE WAS ISSUED, WITHIN ONE (1) YEAR OF THE EVENTS GIVING RISE TO THE DISPUTE), AND THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT PERIOD. IF APPLICABLE LAW PROHIBITS A ONE-YEAR LIMITATION PERIOD, THE SHORTEST PERIOD PERMITTED BY APPLICABLE LAW APPLIES.

18.4 CLASS ACTION AND JURY TRIAL WAIVER. ALL DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE PROCEEDING. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY.

18.5 Opt-out. You may opt out of the arbitration agreement in Sections 18.2–18.4 by emailing legal@hft.so with the subject "ARBITRATION OPT-OUT", your Telegram username, and a statement that you opt out, within thirty (30) days of first using the Service. Opting out does not affect any other provision of these Terms.

19. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior understandings. Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in full force. No waiver. Our failure to enforce any provision is not a waiver of it. Assignment. You may not assign these Terms; we may assign them freely, including to any legal entity formed to own or operate the Service (as described in Section 1) or in connection with a merger, acquisition, or sale of assets. No third-party beneficiaries except the Operator Parties, each of which may enforce the provisions protecting it. Independent parties. We are an independent software provider. Nothing in these Terms creates any partnership, joint venture, employment, fiduciary, brokerage, advisory, custodial, or agency relationship between you and us. Language. These Terms are drafted in English; any translation is for convenience only and the English version controls. Notices. We may provide notices through the Service, the Telegram bot, or at https://hft.so/terms.html, and you are responsible for reviewing them; we are not liable for losses arising from your failure to review announcements.
